Terms of use and sale

This English version is a courtesy translation. Only the French version is legally binding and prevails in case of discrepancy. Read the French version.

1. Purpose and scope

These terms of use and sale (the “Terms”) govern access to and use of the cocoPIM service, product information management (PIM) software offered as SaaS by T2ND SAAS, a SASU (simplified joint-stock company with a sole shareholder) with a share capital of €1,000, registered with the Lille Métropole Trade and Companies Register (RCS) under number 107 995 631, whose registered office is located at 34 place du Général de Gaulle, Bureau 3, 59800 Lille (the “Publisher”), as well as the conditions for subscribing to paid Plans.

The Service is intended exclusively for professionals (companies, self-employed persons, associations) acting in the course of their business. It is not intended for consumers within the meaning of the French Consumer Code (Code de la consommation). Creating an account entails full and unreserved acceptance of these Terms.

Right of withdrawal (Article L221-3 of the French Consumer Code). By way of exception, a professional Customer that employs five employees or fewer and for which the subject matter of the contract does not fall within the scope of its main business activity has a right of withdrawal of fourteen (14) days from the subscription to a paid Plan. It exercises this right by an unambiguous statement sent to contact@cocopim.fr. If it requested immediate performance of the Service, it remains liable, in the event of withdrawal, for an amount proportionate to the service provided until it communicated its decision (Article L221-25). In practice, the free trial with no payment method (Article 5) covers this period without any billing.

2. Definitions

  • Service: the cocoPIM platform accessible online, its interfaces, APIs and documentation.
  • Customer: the professional legal entity or natural person that holds the Organization created on the Service.
  • User: any natural person who has an account attached to the Customer's Organization.
  • Organization: the Customer's contractual space, grouping its workspaces, its Users and its subscription.
  • Plan: a subscription tier (Discovery, Essential, Pro, Growth, Enterprise) defining the capabilities and quotas of the Service.
  • Customer Data: all content imported or created by the Customer in the Service (catalog, media, settings).

3. Account and registration

Creating an account requires accurate and up-to-date information (identity, business email, company). Sign-in is by password, confirmed by a single-use login code sent by email (and, where applicable, two-factor authentication or the Organization's single sign-on (SSO)). Access is personal: the Customer stands guarantor (se porte fort) for compliance with these Terms by its Users and for the confidentiality of their means of access.

4. Description of the Service: Plans and quotas

The Service makes it possible to centralize, enrich and distribute the Customer's product information. The capabilities (workspaces, products, channels, languages, AI generations…) depend on the subscribed Plan; the details of the Plans and quotas in force are set out on the Pricing page, which forms an integral part of these Terms. The Publisher continuously develops the Service (improvements and updates included) without substantial degradation of the subscribed features.

5. Free trial and Discovery Plan

5.1. Start of the trial. A Customer that selects a paid Plan when signing up receives a free trial of that Plan for 14 days, with no payment card and no commitment. The trial starts automatically on the Customer's first sign-in to the Service, after verification of its email address and setting of its password. Its end date is known from the start of the trial, displayed in the Customer's account, recalled by email as soon as the trial starts, and then according to the notice schedule in Article 5.8.

5.2. No charge of any kind. No payment method is requested or stored in order to benefit from the trial. No charge can be made as long as the Customer has not voluntarily registered a payment method. The trial does not give rise to any invoice.

5.3. Continuation on a paid Plan. The Customer may, at any time during the trial, register a payment method from its billing area. The paid subscription then takes effect at the end of the trial: the first invoice is issued on that date and the subscription period, monthly or annual, runs from that date (Article 7). Before that end date, the Customer may renounce it at no cost from the same area.

5.4. End of the trial without a paid subscription. If no payment method has been registered at the end of the trial, the subscription to the paid Plan ends automatically, at no cost and without invoicing, and the features specific to that Plan cease to be accessible. The Customer then has the three choices described in Article 5.8. Moving to the Discovery Plan is not automatic: it results from a choice made by the Customer. Until that choice has been made, and during the period provided for in Article 5.8, the Customer Data remains accessible for viewing and exportable under the conditions of Article 10.

5.5. Consequences of moving to the Discovery Plan. When the Customer chooses the Discovery Plan, the capabilities and quotas of that Plan apply and the features reserved for higher Plans are disabled. This change of Plan does not in itself entail any deletion of Customer Data. Where the volume of Customer Data exceeds the quotas of the Discovery Plan, the Organization enters a restricted access state: the Customer retains access to all of its data for viewing, export and deletion, while the creation, modification and import of new items are suspended. The Service continuously indicates the dimensions and volumes that exceed the quotas. Normal access is restored automatically, without any action on the Customer's part, as soon as the quotas are met again, whether by reducing the volume or by subscribing to a suitable Plan. The Publisher does not delete any Customer Data in place of the Customer: the choice of what is kept belongs to the Customer. This state has no effect on the period in Article 5.8, which does not run when the Customer has chosen the Discovery Plan.

5.6. One trial only. The free trial is granted only once per Organization. It is not renewed, including in the event of a change of Plan, of termination followed by a new subscription, or of the creation of a new workspace. The Publisher may refuse the benefit of the trial where multiple accounts are created in order to circumvent it (Article 9).

5.7. Discovery Plan. The Discovery Plan is free and requires no payment card, subject to actual use of the Service. It is provided “as is”, without any service level or support commitment (Article 12) and without any minimum commitment period. The Publisher may close an account that has remained unused for more than 24 consecutive months, after informing the Customer in advance and giving at least 30 days of notice allowing it to come forward or to export its Customer Data (Article 10).

5.8. End of the trial: the Customer's choice, notices and account closure. The trial is entered into for a fixed term: it ends on the date made known to the Customer from the start of the trial (Article 5.1). At that end date, the Customer has three choices, presented in its account: subscribe to a paid Plan, continue on the free Discovery Plan (Articles 5.5 and 5.7), or let its account be closed.

Period. The Customer has a period of 15 calendar days from the end of the trial to make this choice. On expiry of this period, if no choice has been expressed, or if the Customer has chosen to let the account be closed, the account is closed and the Customer Data deleted under the conditions of Article 10.

Notices. No closure takes place without prior notice. The Publisher sends the Customer, at the email address associated with its account, five notices: seven (7) days and three (3) days before the end of the trial, on the day the trial ends, and then seven (7) and thirteen (13) days after that day. The notice sent on the day the trial ends sets the closure date, which is notified to the Customer and is not changed afterwards. The Publisher keeps a time-stamped proof of sending of each notice (privacy policy, §5) and undertakes not to close an account when the notice due on the day the trial ends has not actually been sent.

Access during the period. During these 15 days, the Customer retains access to its Customer Data for viewing, for full export in the standard formats of Article 10 and for deletion. Export remains free of charge and self-service, and is not conditional on any subscription or any payment. The features specific to the trialed Plan are no longer accessible from the end of the trial (Article 5.4).

Final nature. A Customer that subscribes to a paid Plan, chooses the Discovery Plan or requests the reactivation of its account before the expiry of the 30-day restoration window provided for in Article 10 recovers its account and its Customer Data as they stood. At the end of that window, the deletion is final and irreversible: the Customer Data can no longer be restored, including by the Publisher. It is the Customer's responsibility to export its data before that deadline.

6. Prices, invoicing and payment

  • Prices are stated exclusive of taxes and publicly displayed on the Pricing page; billing is monthly or annual (15% discount for an annual commitment).
  • Payment is made by payment card or direct debit through our payment service provider Stripe; no card data is stored by the Publisher.
  • The Publisher may revise its prices; any change is notified at least 60 days before it applies and only takes effect on the next billing date (monthly or annual).
  • In the event of a payment failure that is not remedied after reminders, the Publisher may suspend access to the Service until payment is regularized, under the conditions of Article 15.
  • The free trial (Article 5) does not give rise to any billing. Where a payment method has been registered during the trial, the first billing date falls at the end of the trial.
  • In accordance with Article L. 441-10 of the French Commercial Code (Code de commerce), invoices are payable upon receipt. Any late payment automatically entails, by operation of law, the application of penalties calculated at the interest rate of the European Central Bank plus ten percentage points, as well as a fixed indemnity for recovery costs of forty (40) euros, without prejudice to additional compensation for the loss actually suffered, upon proof.

7. Term, renewal and termination

The subscription is entered into for the chosen period (month or year) and runs from the end of the free trial (Article 5.3) or, where there is no trial, from the subscription date. It is tacitly renewed for periods of the same length. The Customer may terminate at any time from its billing area; termination takes effect at the end of the current period, without any pro rata refund or return of sums already paid (product decision of 2026-08-05). Moving to a lower Plan takes effect on the next billing date, subject to compliance with the quotas of the target Plan, moving to the Discovery Plan being governed by the specific conditions of Article 5.5.

During the free trial. The Customer cannot switch to the Discovery Plan while the trial is running: this choice is open to it at the end of the trial (Article 5.8). A Customer that ends its trial before its end date retains access to the Service until the originally scheduled end date, without any billing taking place; the period and the notices of Article 5.8 run from that same date.

8. Public identifier of the Organization (subdomain) and trademark claims

When creating its Organization, the Customer chooses an identifier (“slug”) that determines its access address (slug.cocopim.fr). This identifier is public and constitutes a technical routing identifier; it confers no intellectual property rights.

The Customer warrants that the chosen identifier:

  • does not infringe the rights of third parties (trademark, company name, trade name, domain name) that it does not hold or is not authorized to use;
  • is not likely to cause confusion with the services of the Publisher or of another Customer;
  • does not contravene the law or public policy;
  • complies with the technical constraints displayed at creation (characters, length, identifiers reserved for the platform).

Identifiers are allocated on a first-come, first-served basis. Any rights holder who considers that an identifier infringes its rights may send a claim to contact@cocopim.fr together with evidence of its rights (trademark certificate, company registration extract, domain name ownership). The Publisher acknowledges receipt within 5 business days, investigates the claim within 15 business days and gathers the observations of the Customer concerned (7 business days).

If the claim is well founded, or in the event of a manifest breach of the above rules, the Publisher may change the identifier to a neutral identifier, subject to prior notification by email (reason, new address, reminder of the rules) with 72 hours' notice, reduced in the event of established urgency (manifest impersonation, phishing). The change affects neither the data, nor the Users, nor the subscription; only the access address changes. The Publisher does not adjudicate intellectual property disputes: its decisions are platform management measures, without prejudice to the right of the parties to bring the matter before the competent courts.

9. Obligations of the Customer

  • use the Service in accordance with its intended purpose and with applicable regulations;
  • warrant that it holds the rights to the Customer Data imported (content, media, trademarks);
  • not attempt to compromise the security or integrity of the Service (intrusion, circumvention of quotas, reverse engineering outside the exceptions provided by law, unauthorized resale);
  • maintain the confidentiality of its Users' means of access.

10. Customer Data and reversibility

The Customer Data remains the exclusive property of the Customer. The Publisher uses it only to provide the Service. The Customer may export its entire catalog at any time in standard formats (CSV, Excel, JSON) from the Service.

Account closure. Closure may result from a request by the Customer, from the end of its subscription, from the end of the free trial under the conditions of Article 5.8, or from termination for breach (Article 15). It entails the end of access to the Service. The Customer Data is then deleted at the end of a period of 30 days from closure, during which the account may be restored at the Customer's request; after this period, the deletion is final and irreversible, except for legal retention obligations (in particular accounting obligations) and except for the proof of sending of the notices, which is kept without the email address in clear text (privacy policy, §5). The Customer Data disappears from backup copies at the end of their rotation cycle.

Cessation of activity. In the event of a permanent discontinuation of the Service at the Publisher's initiative (voluntary cessation of activity, end of commercialization), the Publisher informs the Customer with at least 90 days of notice and maintains the export functions during that period, without any new billing beyond the period already paid. In the event of a forced cessation (in particular judicial liquidation or permanent inability to operate), the Publisher (or any person authorized to represent it) endeavors to notify the Customers without delay, to stop recurring billing and to maintain an export window of at least 60 days. The Customer acknowledges that it is, in any event, its responsibility to carry out regular exports of its data using the functions made available to it.

Escrow (Enterprise Plan). For Customers on the Enterprise Plan, an escrow agreement (deposit of the source code, infrastructure scripts and operating documentation with a third-party escrow agent, such as the Agence pour la Protection des Programmes, or APP) may be put in place on request, at the Customer's expense, providing for release events that include the permanent cessation of activity of the Publisher.

11. Personal data

The processing of personal data is described in the privacy policy. For the personal data contained in the Customer Data, the Publisher acts as a processor within the meaning of the GDPR; the data processing agreement (DPA), which forms an integral part of these Terms, sets out the commitments of the parties.

12. Availability, maintenance and support

The Publisher implements reasonable means to ensure the continuous availability of the Service (hosting in France, daily backups of the database), without any contractual service level commitment on the standard Plans. Planned maintenance windows are notified when they involve an interruption. Support is provided according to the subscribed Plan (channels and indicative response times on the Pricing page).

Enterprise Plan. For Customers on the Enterprise Plan, the Publisher targets a monthly availability of 99.5% of the Service, measured on the accessibility of the application and of the API, excluding planned maintenance windows (notified at least 48 hours in advance in the application), interruptions attributable to the Customer or to its third-party tools, and cases of force majeure. If this target is missed in a calendar month, the Customer may request a credit note proportionate to the duration of the recorded unavailability, up to the monthly amount of the subscription; this credit note is the sole remedy with respect to availability. Support requests from Enterprise Customers are handled as a priority, with a first response within 2 business hours.

13. Intellectual property in the Service

The Service, its software, interfaces and documentation remain the exclusive property of the Publisher. The subscription grants the Customer a personal, non-exclusive, non-transferable right of use, limited to the term of the subscription and to the scope of the subscribed Plan.

14. Liability

The Publisher is bound by an obligation of means (obligation de moyens, i.e., a best-efforts obligation). It cannot be held liable for indirect damage (loss of revenue, of customers or of business, damage to reputation), nor for damage resulting from a non-compliant use of the Service or from the content of the Customer Data. In any event, the total liability of the Publisher is capped at the amount of the sums actually paid by the Customer over the last 12 months preceding the event giving rise to liability.

Insurance. The Publisher declares that it holds a professional liability insurance policy and a policy covering cyber risks (policy no. TPRC002995), taken out with Hiscox SA (registered office: 35 avenue Monterey, L-2163 Luxembourg; branch in France: 49 avenue de l'Opéra, 75002 Paris) and with CFDP Assurances (62 rue de Bonnel, Immeuble de l'Europe, 69003 Lyon), within the limits and caps provided for in said policies. A certificate of insurance is provided to the Customer on request.

15. Suspension and termination for breach

In the event of a serious or repeated breach of these Terms (non-payment, breach of security, unlawful use), the Publisher may suspend access to the Service after a formal notice (mise en demeure) that has remained without effect for 15 days, or immediately in an emergency (threat to security or to third parties). Termination for breach does not give rise to any refund, without prejudice to the recovery of the Customer Data (Article 10).

16. Amendments to the Terms

The Publisher may amend these Terms. Any substantial amendment is notified to the Customer at least 30 days before it comes into force; continued use of the Service constitutes acceptance. If the Customer refuses the amendment, it may terminate before it comes into force.

17. Governing law and jurisdiction

These Terms are governed by French law. Failing an amicable resolution within 30 days, any dispute falls within the exclusive jurisdiction of the Commercial Court (tribunal de commerce) of Lille Métropole, notwithstanding multiple defendants or third-party claims (appel en garantie).
